EbonyLife ON PLUS – Terms and Conditions of Use

These Terms and Conditions (“Terms”) govern your access to and use of the EbonyLife ON PLUS platform, mobile applications, digital services, and related content and offerings (collectively, the “Platform”). By accessing or using the Platform, you (“User”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

In the event of any conflict between these Terms and a specific written agreement between you and EbonyLife ON PLUS, the written agreement shall prevail.

Description of Services

EbonyLife ON Plus is more than a streaming service, it is a premium lifestyle platform designed to entertain, educate, and empower. We combine world-class entertainment, personal development resources, and exclusive cultural experiences in one members-only space. This is the first offering of its kind in our market, giving your brand a clear and genuine competitive edge.

Members enjoy access to:

EbonyLife Originals – Films and series telling authentic African stories.

Nollywood Gold – Timeless classics and exciting new releases.

Live Channels – TVC and Africa Nolly in English, Yoruba, Igbo, Hausa, and Pidgin.

Affordable Data Bundles – In partnership with Airtel

EbonyLife ON Plus may add, modify, suspend, or discontinue any feature or service at its sole discretion, without prior notice or liability.

Types of Access: SVOD and TVOD

    SVOD (Membership Video on Demand): Access to a library of content for a recurring fee (monthly/annually).

    TVOD (Transactional Video on Demand): One-time access to specific content by rental (limited time access) or purchase (license to view indefinitely).

"Purchase" means a license to view, not ownership of the content. Content availability may be subject to license agreements and may change.

Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to access and use the Platform. By using the Platform, you represent and warrant that you meet the eligibility requirements and that all information you submit is accurate and truthful.

By creating an account or allowing minors to use your account, you acknowledge that it is your sole responsibility to monitor and control the viewing habits of any minor who accesses our platform through your account.

By using our platform, you accept full responsibility for any activity conducted through your account, including access by minors, and agree to take all necessary steps to ensure content is viewed appropriately and in compliance with applicable age restrictions.

Membership

Your EbonyLife ON PLUS membership will continue until terminated. To use the EbonyLife ON PLUS service you must have Internet access and an EbonyLife ON PLUS ready device, and provide us with one or more Payment Methods.

“Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party.

Unless you cancel your membership before your billing date, you authorize us to charge the membership fee for the next billing cycle to your Payment Method (see "Cancellation" below).

Billing and Cancellation

    Payment methods include debit/credit cards, bank transfers, or any method specified on the platform.

    SVOD plans auto-renew unless canceled before the renewal date.

    TVOD purchases are non-refundable. However, all technical issues (if any) will be addressed as soon as possible.

Billing Cycle

The fee for the EbonyLife ON PLUS service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged to your Payment Method on the specific payment date indicated on the payment page.

The length of your billing cycle will depend on the type of plan that you choose when you signed up for the service. In some cases your payment date may change, for example if your Payment Method has not successfully settled, when you change your membership plan or if your paid membership began on a day not contained in a given month. Visit our website and click on the "Account" page to see your next payment date.

We may authorize your Payment Method in anticipation of membership, purchase or service-related charges through various methods, including authorizing it for up to approximately one month of service as soon as you register.

Payment Methods

To use the EbonyLife ON PLUS service you must provide one or more Payment Methods. You authorize us to charge any Payment Method associated with your account in case your primary Payment Method is declined or no longer available to us for payment of your membership fee.

You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method.

For some Payment Methods, the issuer may charge you certain fees, such as bank charges, foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your Payment Method service provider for details.

Updating your Payment Methods

You can update your Payment Methods by going to the "Account" page. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s).

Cancellation

You can cancel your EbonyLife ON PLUS membership at any time, and you will continue to have access to the EbonyLife ON PLUS service through the end of your billing period.

To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial membership periods or unused EbonyLife ON PLUS content.

To cancel, go to the "Account" page and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. On the "Account" page you can see when your account will close.

Changes to the Price and Membership Plans

We may change our membership plans and the price of our service from time to time. We will notify you at least one month before any price changes or changes to your membership plan will become effective.

If you do not wish to accept the price change or change to your membership plan, you can cancel your membership before the change takes effect.

License and User Rights

EbonyLife ON PLUS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial purposes and in accordance with these Terms.

You shall not:

    Copy, reproduce, capture, record, mirror or redistribute any content or materials

    Modify, reverse-engineer, alter, decompile, disassemble, create derivative works or otherwise attempt to derive the source code or underlying structure, algorithms, or data of any part of the platform or its services.

    Sell, rent, sublicense, or commercially exploit any portion of the Platform

    Circumvent or attempt to bypass any security measures or access restrictions

All rights not expressly granted to you are reserved by EbonyLife ON PLUS.

You may access the EbonyLife ON PLUS content primarily within the country in which you have established your account and only in geographic locations where we offer our service and have licensed such content. The content that may be available will vary by geographic location and will change from time to time. The number of devices on which you may simultaneously watch depends on your chosen membership plan and is specified on the "Account" page.

The EbonyLife ON PLUS service, including the EbonyLife ON PLUS content, is regularly updated. We therefore do not guarantee that particular content will be available on the EbonyLife ON PLUS service at any given time. We may give you the opportunity to watch live or special events (including replays of such content) or to enjoy new additional features. Such content and new features may contain commercial breaks and other types of commercial messages and advertising formats (“Advertisements”). Our service may also contain limited commercial content, such as branded content or sponsorship messaging, promos for EbonyLife ON PLUS content or information about other EbonyLife ON PLUS goods or services. EbonyLife ON PLUS does not endorse or sponsor any advertised products or services and any interactions with advertisers, including through engagement with interactive advertisements, are at your own option and risk. In addition, we continually test various aspects of our service, including our websites, user interfaces and promotional features.

You agree to use the EbonyLife ON PLUS service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein.

We may terminate or restrict your use of our service if you violate these Terms of Use or are engaged in illegal or fraudulent use of the service.

The quality of the display of the EbonyLife ON PLUS content may vary from device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection.

EbonyLife ON PLUS software is developed by, or for, EbonyLife ON PLUS and may solely be used for authorized streaming and to access EbonyLife ON PLUS content through EbonyLife ON PLUS ready devices. This software may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the service may require third party software that is subject to third party licenses. You agree that you may automatically receive updated versions of the EbonyLife ON PLUS software and related third-party software.

Intellectual Property

All content on the Platform including videos, images, logos, designs, text, AI tools, digital books, artwork, product names, brand assets, and event content is the intellectual property of EbonyLife ON PLUS or its licensors and is protected by copyright, trademark, and other applicable laws.

You shall not use, reproduce, distribute, display, or create derivative works from any content without prior written permission from EbonyLife ON PLUS.

Any permitted use must include attribution to EbonyLife ON PLUS and may not suggest endorsement or sponsorship.

ELEV8 Platform

All content available on Elev8 is provided free of charge and contains the educational materials sourced from publicly available YouTube channels and remain hosted directly on YouTube in accordance with YouTube’s Embedding Terms of Service.

EbonyLife ON Plus does not have nor claim ownership or intellectual property rights in any of the videos or materials displayed through embedded YouTube links. All intellectual property rights remain with their respective owners.

By using this platform, you acknowledge that Ebonylife ON Plus is not responsible for the content, accuracy, availability, or functionality of any third-party videos or links. Ebonylife ON Plus shall not be liable for any damages, actions, or outcomes arising from users’ interaction with such third-party content, including but not limited to clicks, ads, or external redirections that occur on YouTube or related sites.

Passwords and Account Access

You are responsible for any activity that occurs through the EbonyLife ON PLUS account. By allowing others to access the account (which includes access to information on viewing activity for the account), you agree that such individuals are acting on your behalf and that you are bound by any changes that they may make to the account, including but not limited to changes to the membership plan.

To help maintain control over the account and to prevent any unauthorized users from accessing the account, you should maintain control over the devices that are used to access the service and not reveal the password or details of the Payment Method associated with the account to anyone.

You agree to provide and maintain accurate information relating to your account, including valid contact information so we can send you account related notices. We can terminate your account or place your account on hold in order to protect you, EbonyLife ON PLUS or our partners from identity theft or other fraudulent activity.

Geo-blocking & Licensing Territory Restrictions

Our platform and its content are subject to licensing agreements and legal restrictions that limit content availability based on geographic location. As such, certain content may only be accessible in specific territories or regions, hence we do not guarantee that any particular content will be available in your region at any given time.

You agree not to use any method, including virtual private networks (VPNs), proxy servers, location-spoofing technologies, or any other tools or techniques, to misrepresent your location or to circumvent geo-blocking measures that are in place to comply with licensing restrictions.

We reserve the right to monitor access to our services to ensure compliance with applicable geographic restrictions. If we detect any attempt to bypass or interfere with our geo-blocking technology, including the use of VPNs or similar tools, we may:

    Suspend or terminate your access to the EbonyLife ON PLUS without notice

    Refuse future access to our services

    Report such conduct to appropriate authorities, where required.

We are not liable for any unavailability of content in your location due to licensing restrictions or geo-blocking measures. Availability is subject to change at any time without notice. By using this platform, you agree to comply with all geo-restrictions and acknowledge that any violation of this clause may result in the immediate suspension or termination of your account.

You agree that packages and benefits accessible to you as a member may vary depending on your location as some benefits, content and packages may be location specific.

Unauthorised Use

You shall not attempt to gain unauthorized access to any part of EbonyLife ON PLUS, its user accounts, computer systems, or networks connected to it, whether through hacking, password mining, or any other means. You must not interfere with or disrupt EbonyLife ON PLUS’s security, system integrity, or transmission of content, including attempts to disable, overburden, or impair any aspect of the platform.

You agree not to use, deploy, or facilitate the use of any automated tools or technologies including, but not limited to bots, web crawlers, scrapers, spiders, offline readers or any other tools that systematically access, index, download, or extract data or content from the platform.

You must not make any attempt to circumvent or defeat any digital rights management (DRM) technology, encryption, or other content protection measures used by the platform.

Violation of this clause may result in immediate suspension or termination of your account without prior notice, legal action (including claims for damages) and reporting to relevant law enforcement or regulatory authorities where applicable.

We actively monitor for prohibited activities and reserve all legal rights to protect our platform, content owners, and users.

Disclaimer of Warranties

To the fullest extent permitted by law, EbonyLife ON PLUS disclaims all warranties, express or implied, including but not limited to:

    Merchantability and fitness for a particular purpose

    Non-infringement of intellectual property

    Accuracy, completeness, or reliability of any content

    Uninterrupted or error-free access to services

All services and content are provided “as is,” “as available,” and “with all faults.” All content and services on EbonyLife ON PLUS are provided for informational, entertainment, and lifestyle purposes only.

While we strive for accuracy and relevance, EbonyLife ON PLUS, its affiliates, officers, employees, and partners shall not be held liable for any errors, omissions, or reliance placed on the content provided. Users are responsible for making their own independent assessments.

Content shared via the Platform, including digital masterclasses, AI coaching, or the Legend Series, does not constitute professional, legal, financial, medical, or therapeutic advice. Users should consult with licensed professionals where applicable.

Limitation of Liability

To the maximum extent permitted by law, EbonyLife ON PLUS and its affiliates, officers, directors, employees, and agents shall not be liable for:

    Any indirect, incidental, special, punitive, or consequential damages

    Loss of data, profits, goodwill, or business opportunity

    Any delay, interruption, or inability to access or use the Platform

    Third-party services or content referenced on the Platform

    Content viewed by minors where parental control restrictions were not enforced

    Misuse of login credentials by underage individuals

    Any harm, offense, or consequences resulting from a minor’s access to inappropriate content due to failure to implement content restrictions

    Any costs, losses, or disputes arising from or related to participating in any giveaways, access to digital content, or attendance at events is entirely at your own risk.

Membership does not guarantee your right to winning any prize(s) or giveaway(s) during any campaign organised by EBONYLIFE ON PLUS. At best, it secures you the right to participate in the scheme subject to the applicable terms and conditions.

You agree to take full responsibility for decisions or actions taken based on any Platform content, participating in any Stardom celebrity sessions, classes, giveaways, or app features and interacting with third-party services or partners introduced via the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless EbonyLife ON PLUS and its affiliates, officers, employees, contractors, and partners from and against any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from:

    Your use of the Platform

    Your breach of these Terms

    Your violation of any law or third-party rights

Third-Party Content and Services

The Platform may link to third-party websites, services, or products (e.g., fashion brands, hotels, tech platforms). EbonyLife ON PLUS is not responsible for the content, terms, privacy policies, or actions of any third parties and reserves the right to remove any inappropriate content at its sole discretion. Your interaction with third parties is entirely at your own discretion and risk.

Availability and Modifications

All services, products, and features (including masterclasses, giveaways, live events, and digital books) are subject to availability and may be modified, suspended, or terminated without notice or liability.

EbonyLife ON PLUS does not guarantee uninterrupted access or that services will be free from defects, errors, or omissions.

Copyright Infringement Complaints

We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content available on our platform infringes your copyright or other intellectual property rights, you may submit a formal notice in accordance with applicable laws, and relevant copyright laws.

To file a copyright infringement claim, please send a written notice to our designated email contact that includes the following information: your full personal details, a description of the copyrighted work you claim has been infringed, the exact URL or location on our platform where the allegedly infringing content appears, a statement that you have a good faith belief that the use of the content is not authorized by (the copyright owner, its agent, or the law), a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act.

Termination

EbonyLife ON PLUS may suspend or terminate your access to the Platform at any time, with or without cause, including for violations of these Terms. Upon termination, your license to use the Platform will immediately cease.

Any clauses intended to survive termination (e.g., intellectual property, limitation of liability, indemnification) shall remain in effect.

Class Action Waiver

Where permitted under the applicable law, You and EbonyLife ON PLUS agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Further, where permitted under the applicable law, unless both you and EbonyLife ON PLUS agree otherwise, the court may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. You agree to the exclusive jurisdiction of the courts located in Lagos, Nigeria.

Any dispute arising from or related to these Terms shall be resolved through negotiation, and if necessary, arbitration or litigation within the applicable jurisdiction.

Miscellaneous

EbonyLife ON PLUS reserves the right to modify these Terms at any time. Updates will be posted on the Platform with a new effective date. Your continued use of the Platform constitutes acceptance of the revised Terms.

Unsolicited Materials

EbonyLife ON PLUS does not accept unsolicited materials or ideas for EbonyLife ON PLUS content and is not responsible for the similarity of any of its content or programming in any media to materials or ideas transmitted to EbonyLife ON PLUS.

Customer Support.

To find more information about our service and its features or if you need assistance with your account, please visit the EbonyLife ON PLUS Help Center, which is accessible through the website. In certain instances, Customer Service may best be able to assist you by using a remote access support tool through which we have full access to your computer. If you do not want us to have this access, you should not consent to support through the remote access tool, and we will assist you through other means. In the event of any conflict between these Terms of Use and information provided by Customer Support or other portions of our websites, these Terms of Use will control.

Events beyond our reasonable control.

The EbonyLife ON PLUS service and/or some of the EbonyLife ON PLUS content may not be available for streaming or downloading at any time as a result of events beyond our reasonable control, including, but not limited to: (i) power or server outages; (ii) acts or failures of any kind by third parties such as network providers; (iii) war, riots, strikes, or social unrest; and/or (iv) any other events or factors beyond our reasonable control. While we will make reasonable efforts to notify you in advance, to the extent permitted by applicable law, we will not be held liable should such events occur.

Electronic Communications.

We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only.

13. Changes to These Terms

We may update these Terms periodically. Changes will be effective once posted. Your continued use of the platform after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Disputes shall be resolved in the courts of Lagos, Nigeria.
